Corporate law and financing

The team has developed a strong expertise in the execution of equity, acquisitions, divestiture and/or restructuring transactions, and as such being fully involved in the discussions and negotiations. For each transaction, we manage a tailor-made team, which may be multi-disciplinary, in particular with the support of the tax, employment, contracts and IP teams. With our experience, we also advise managers and their teams in the definition and implementation of their development strategy. Our team also works alongside companies and groups in the day-to-day management of their business and assists them with their legal affairs as well as with any governance and structuring issues they may encounter:


Acquisition / disposal / business partnerships / mergers

  • Advice and assistance in the definition and implementation of acquisition, disposal and merger strategies
  • Due diligence, including administration and management of data room monitoring
  • Negotiation and drafting of the contractual documentation corresponding to the planned transaction (NDA, letter of intent, acquisition/disposal agreement, guarantee of assets and liabilities, shareholders' agreement, investment agreement)
  • Preparation of the corporate documentation for the proposed transaction (governance reports, documentation for the holding of general meetings, governance decisions)
  • Notification to competition authorities
  • Preparation of signings and closings and assistance during the meetings

Fundraising

  • Advice and assistance to the company in defining and implementing its fundraising strategy
  • Advising and assisting the company in its negotiations with investors and in its dealings with intermediaries appointed to carry out the planned transaction
